TERMS OF SERVICE

These Terms of Service ("Terms") are a legal agreement between you and Ideas Inc ("Ideas," "we," "us," or "our") for your use of the Ideas mobile application and related services (the "Services").

Ideas is a social planning platform that helps people connect with friends, groups, and communities, organize activities and events, chat, share ideas, coordinate availability, and make plans. These Terms explain the rules for using Ideas respectfully and safely.

By using the Services, you agree to these Terms. If you do not agree, do not use the Services. You can contact us at support@ideas-app.com.

1. WHO CAN USE IDEAS

You may use Ideas only if you can legally agree to these Terms and follow all applicable laws.

If you are a minor where you live, you may use Ideas only with permission from a parent or guardian. Ideas is not intended for children under 13.

You may not use Ideas if we previously suspended or removed your account for a serious violation unless we give you written permission.

2. YOUR ACCOUNT

You may need an account to use the Services. You agree to provide accurate account information and keep it up to date.

You are responsible for activity on your account. Keep your login credentials secure and tell us if you believe your account has been accessed without permission.

We may remove, reclaim, or change usernames, group names, community names, or other identifiers if they violate these Terms, infringe someone else's rights, impersonate another person or organization, or create confusion.

3. USING IDEAS

Ideas exists to help people make plans and build community. You agree to use the Services only for lawful, respectful, and personal social purposes unless we approve another use in writing.

You agree not to:

* Break the law or encourage others to break the law.

* Harass, bully, threaten, intimidate, exploit, or abuse anyone.

* Impersonate another person or misrepresent who you are.

* Create fake, duplicate, or misleading accounts.

* Post or send spam, scams, phishing attempts, malware, or deceptive content.

* Submit false, abusive, or bad-faith reports or support requests.

* Share someone else's private personal information without their consent.

* Collect, scrape, or harvest information from the Services without permission.

* Use bots, scripts, automation, or data-mining tools without permission.

* Interfere with or disrupt the Services, servers, security, or networks.

* Try to access accounts, systems, or data you are not allowed to access.

* Sell, rent, transfer, or commercially exploit your account.

* Use Ideas to advertise, solicit, or sell goods or services without our permission.

* Upload content that infringes intellectual property, privacy, publicity, or other rights.

* Upload sexual content involving minors or any content that exploits, harms, or endangers children.

Our Safety Standards also apply to your use of Ideas and are part of these Terms.

4. BEING RESPECTFUL

Ideas is built for real social connection. Treat other users with respect.

Content or behavior intended to harass, intimidate, threaten, shame, exploit, scam, impersonate, or endanger others may be removed. Accounts engaging in repeated or severe violations may be restricted, suspended, or terminated.

We have zero tolerance for child sexual abuse, exploitation, grooming, or endangerment. We may remove content, suspend accounts, preserve evidence, and report violations to the National Center for Missing & Exploited Children, law enforcement, or other appropriate authorities.

5. USER CONTENT

"User Content" means anything you create, upload, post, send, or share through Ideas, including profile information, photos, messages, posts, comments, replies, reactions, ideas, groups, communities, events, plans, polls, tasks, availability, reports, and feedback.

You own your User Content. We do not claim ownership of it.

By using Ideas, you give us a limited license to host, store, copy, display, transmit, resize, format, moderate, translate where needed, back up, and otherwise process your User Content only as needed to operate, provide, protect, improve, and promote the Services. For example, this lets us show your post to the audience you selected, deliver a message, resize a photo, generate previews, store backups, send notifications, review reports, and keep the app working.

This license is worldwide, non-exclusive, royalty-free, and sublicensable only to service providers who help us operate the Services. It ends when your User Content is deleted from our active systems, except where continued retention is reasonably needed for backups, legal compliance, safety, abuse prevention, dispute resolution, or where content has already been shared with other users and remains available under the feature you used.

You are responsible for your User Content. You represent that you have the rights needed to share it and that it does not violate these Terms, someone else's rights, or applicable law.

Feedback

If you send us feedback, ideas, or suggestions about Ideas, you allow us to use them without restriction or compensation. This does not give us ownership of your posts, messages, photos, events, or other User Content.

6. CONTENT VISIBILITY AND GROUPS

Ideas includes private, shared, group, community, and public features. Content visibility depends on the feature, settings, membership, audience, and actions you choose.

For example:

* Messages are visible to the people in the chat.

* Group or community content may be visible to members, leaders, moderators, or approved audiences.

* Event and plan details may be visible to invited users, attendees, group members, community members, or other selected audiences.

* Public posts, groups, communities, or profile information may be visible more broadly.

You should only share content with audiences you are comfortable with. Other users may see, save, discuss, or act on content you share with them.

Group and community leaders may have tools to manage membership, roles, settings, posts, events, or other activity within their group or community. They must use those tools lawfully and respectfully.

7. EVENTS, PLANS, AND OFFLINE ACTIVITIES

Ideas helps people organize events, plans, availability, locations, tasks, and social activities. We do not control users' offline conduct.

You are responsible for your decisions to meet, attend, host, travel, invite others, or participate in any offline activity. Ideas is not responsible for cancellations, scheduling conflicts, attendee conduct, venue issues, transportation, injuries, property damage, disputes, or other events that happen outside the app.

Use common sense when meeting people, sharing locations, attending events, or joining communities. If something feels unsafe, do not participate and consider reporting the issue.

8. REPORTS, MODERATION, AND ENFORCEMENT

Users may report content, accounts, groups, communities, messages, events, or behavior that appears to violate these Terms or our Safety Standards.

We may review reports and take action when we believe it is appropriate, including:

* Removing or limiting content.

* Warning users.

* Restricting features.

* Removing users from groups, communities, chats, events, or plans.

* Suspending or terminating accounts.

* Removing groups or communities.

* Preserving information related to safety, fraud, or legal concerns.

* Reporting serious violations to law enforcement or other authorities.

We do not promise to monitor all content or resolve every dispute between users. Enforcement decisions may depend on context, severity, available evidence, repeat behavior, safety risk, and legal obligations.

9. OUR APP AND INTELLECTUAL PROPERTY

We own or license the Services, including the app, software, design, systems, logos, trademarks, and other materials we provide, excluding User Content.

Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

You may not copy, modify, distribute, sell, reverse engineer, scrape, or create competing products from the Services except where allowed by law or with our written permission.

10. MOBILE APP LICENSE AND APP STORE TERMS

If you download Ideas from the Apple App Store or Google Play, the applicable store terms also apply. Your license to use the app is limited to devices you own or control, as permitted by the applicable store terms.

Apple and Google are not responsible for providing maintenance or support for Ideas. If the app fails to conform to any applicable warranty, you may notify the app store provider, and that provider may refund the purchase price, if any, according to its policies. To the maximum extent permitted by law, the app store providers have no other warranty obligation for the app.

You must comply with applicable third-party terms when using the app, including your wireless data service agreement and the terms for any services you use through the app. You also represent that you are not located in a country subject to a U.S. government embargo or listed on any U.S. government list of prohibited or restricted parties.

Apple, Google, and their subsidiaries may be third-party beneficiaries of this section and may enforce it against you where applicable.

11. THIRD-PARTY SERVICES AND LINKS

Ideas may use or link to third-party services, including services for authentication, maps, places, search, storage, notifications, hosting, image delivery, diagnostics, and device features.

When you use third-party services or open third-party links, their terms and privacy policies may apply. We are not responsible for third-party websites, apps, services, content, products, or conduct.

12. PRIVACY

Please review our Privacy Policy at ideas-app.com/privacy-policy. It explains how we collect, use, store, and share information.

By using the Services, you understand that Ideas is based in the United States and that information may be processed in the United States and other countries as described in the Privacy Policy.

13. SERVICE CHANGES AND AVAILABILITY

We may change, improve, suspend, limit, or discontinue parts of the Services at any time. We may also update these Terms by changing the "Last updated" date and posting the revised version.

We work to keep Ideas available, but we do not guarantee uninterrupted or error-free service. The Services may be unavailable because of maintenance, outages, bugs, provider issues, security events, or other reasons.

14. ENDING YOUR ACCOUNT

You may stop using Ideas at any time. You may also request account deletion through available account tools or by contacting us.

We may suspend or remove accounts that violate these Terms, threaten the safety of other users, abuse the platform, create legal risk, infringe rights, or interfere with the Services. For serious violations, action may be immediate. For less severe issues, we may provide a warning or feature restriction when appropriate.

If your account is suspended or removed, you may not create another account to bypass the restriction unless we give you permission.

15. REWARDS AND PROMOTIONAL PROGRAMS

From time to time, Ideas may offer optional rewards, points, challenges, badges, credits, gift cards, or other promotional programs. If we do, the rules shown in the app or promotion also apply.

Rewards and points have no cash value, are not your property, and cannot be sold, transferred, exchanged for cash, or redeemed except as described by the specific program. We may change, pause, limit, or end a promotional program where permitted by law.

We may delay, deny, reverse, or cancel points or rewards if we believe there is fraud, abuse, duplicate accounts, fake activity, technical error, violation of these Terms, or other misuse. Third-party rewards, such as gift cards, are subject to the issuer's terms and availability. You are responsible for any taxes or reporting obligations related to rewards.

16. DISCLAIMERS

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not guarantee that user content is accurate, that users will behave appropriately, that events will happen as planned, or that offline activities will be safe or problem-free.

Nothing in these Terms limits rights that cannot be limited under applicable law.

17. LIMITS ON LIABILITY

To the maximum extent permitted by law, Ideas Inc and its directors, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, service interruption, or damages related to user content, user conduct, offline events, or third-party services.

To the maximum extent permitted by law, our total liability for any claim related to the Services or these Terms will be limited to the greater of the amount you paid us to use the Services in the six months before the claim or $100 USD.

Some places do not allow certain limitations of liability, so some of these limits may not apply to you.

18. INDEMNITY

If a claim is brought against Ideas because of your User Content, your misuse of the Services, your violation of these Terms, your violation of law, or your violation of someone else's rights, you agree to defend and indemnify Ideas Inc and its directors, employees, agents, and service providers from that claim to the extent permitted by law.

We may control the defense of any claim that requires indemnity, and you agree to cooperate reasonably with us.

19. DISPUTES AND GOVERNING LAW

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules.

Before filing a claim, you and Ideas agree to try to resolve the dispute informally. The party raising the dispute must send written notice to the other party, and both sides will try in good faith to resolve it for at least 30 days.

If a dispute cannot be resolved informally, it will be resolved in the state or federal courts located in Minnesota, unless applicable law requires another forum or process. You and Ideas consent to personal jurisdiction and venue in those courts.

20. ELECTRONIC COMMUNICATIONS AND SMS

By using the Services, you agree that we may communicate with you electronically, including through the app, push notifications, email, SMS, or other account contact methods.

SMS messages may include account verification, authentication, security alerts, account notices, or service-related messages. Message and data rates may apply. If a message program supports opt-out by reply, you may reply STOP to stop receiving those messages. Some account verification or security messages may still be necessary to use certain features.

21. CALIFORNIA USERS

If a complaint is not resolved with us, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

22. MISCELLANEOUS

These Terms, together with the Privacy Policy, Safety Standards, and any feature-specific terms we present in the Services, make up the entire agreement between you and Ideas for your use of the Services.

If part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our permission. We may transfer our rights and obligations as part of a merger, acquisition, reorganization, sale of assets, or similar transaction.
